Terms of Service

The rules for using Sonalyze, including accounts, customer content, subscriptions, credits, AI outputs, and acceptable use.

Agreement to these terms

These Terms of Service govern your access to and use of Sonalyze, including our website, applications, reports, APIs, subscriptions, credits, and related services.

By creating an account, accessing Sonalyze, or using the service on behalf of an organization, you agree to these terms. If you use Sonalyze for an organization, you represent that you have authority to bind that organization.

The Sonalyze service

Sonalyze helps teams monitor how AI systems describe brands, competitors, categories, and buyer prompts. The service may run prompts against supported AI providers, collect responses, calculate scores, and generate reports.

We may improve, modify, suspend, or discontinue features over time. We may also set reasonable limits on usage to protect performance, security, and other customers.

Accounts and access

You must be at least 18 years old and able to enter into a binding contract to use Sonalyze. You must comply with all laws that apply to your use of the service, including export control and sanctions laws.

You are responsible for keeping account credentials secure and for all activity under your account or workspace. You must promptly notify us if you suspect unauthorized access.

You may invite users only if you have the right to do so. Your organization is responsible for its users, permissions, workspace settings, prompts, reports, connected accounts, and submitted content.

Customer content and permissions

You retain ownership of the prompts, brand information, competitor information, domains, notes, API key configuration, and other content you submit to Sonalyze. You grant Sonalyze the rights needed to host, process, transmit, analyze, display, and back up that content to provide the service.

You represent that you have all rights and permissions needed to submit customer content and to allow Sonalyze and configured providers to process it. You must not submit illegal content, malware, sensitive personal information, regulated health information, payment card data, or confidential information you are not authorized to use.

AI outputs and third-party providers

AI responses can be incomplete, inaccurate, inconsistent, offensive, or outdated. Sonalyze reports are informational tools, not legal, financial, medical, investment, or compliance advice. You are responsible for reviewing outputs before relying on them.

Sonalyze may use third-party AI providers and infrastructure providers to operate the service. If you connect your own provider API keys, you are responsible for that provider account, pricing, rate limits, data settings, and compliance with that provider's terms.

Acceptable use

You may not use Sonalyze to break the law, violate third-party rights, reverse engineer the service, bypass access controls, overload our systems, scrape the service, resell access without permission, transmit malware, or interfere with other customers.

You may not use Sonalyze to generate or evaluate content for unlawful discrimination, harassment, deception, spam, phishing, surveillance, or other harmful activity.

Subscriptions, credits, and payment

Paid plans, usage-based credits, taxes, renewal terms, and billing cycles are shown at checkout or in your account. You authorize us and our payment processors to charge applicable fees using your selected payment method.

Unless stated otherwise at checkout or required by law, fees are non-refundable and subscriptions renew automatically until canceled. You are responsible for applicable taxes. If payment fails, we may suspend or limit access to paid features.

Credits may be consumed when prompts run, reports are generated, or other usage-based actions occur. Credits are not cash, do not earn interest, and may expire if disclosed at purchase or required by plan terms.

Confidentiality and security

Each party may receive non-public information from the other party. The receiving party will use reasonable care to protect confidential information and will use it only to perform under these terms, except where disclosure is required by law.

We maintain safeguards designed to protect the service, but no online service is completely secure. You are responsible for configuring your workspace, access controls, connected provider accounts, and user permissions appropriately.

Intellectual property

Sonalyze and its software, design, trademarks, documentation, and related technology are owned by Sonalyze or its licensors. These terms do not transfer ownership of Sonalyze intellectual property to you.

If you send feedback or suggestions, you grant Sonalyze a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation.

We respect intellectual property rights and may remove or disable access to content that allegedly infringes copyright or other rights. We may suspend or terminate accounts of repeat infringers.

Copyright notices and counter-notices can be sent to [email protected]. A notice should identify the copyrighted work, the material claimed to infringe, your contact information, and a statement that you have a good-faith belief that the use is unauthorized.

Disclaimers and liability limits

Sonalyze is provided as is and as available. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

To the fullest extent permitted by law, Sonalyze will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities.

To the fullest extent permitted by law, Sonalyze's total liability for all claims relating to the service will not exceed the greater of $100 or the amounts paid by you to Sonalyze for the service during the twelve months before the event giving rise to the claim.

Indemnification

You will defend, indemnify, and hold harmless Sonalyze, its affiliates, and their personnel from claims, losses, liabilities, damages, costs, and expenses arising from your use of the service, customer content, violation of these terms, violation of law, or violation of third-party rights.

We may control the defense of any matter subject to indemnification, and you will cooperate with our defense of those claims.

Disputes, arbitration, and governing law

Before filing a claim, each party will try to resolve the dispute informally by emailing [email protected]. If the dispute is not resolved within 30 days, either party may proceed as allowed by this section.

Any dispute arising from these terms or the service will be resolved by binding individual arbitration, except that either party may bring qualifying claims in small claims court or seek injunctive relief for intellectual property misuse or unauthorized access.

You and Sonalyze waive the right to participate in a class action, class arbitration, collective action, representative action, or consolidated proceeding. You may opt out of arbitration and the class action waiver by emailing [email protected] within 30 days after you first accept these terms.

These terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules. If a dispute is not subject to arbitration, it must be brought in the state or federal courts located in Delaware, unless applicable law requires a different venue.

Termination

You may stop using Sonalyze at any time and may cancel paid subscriptions through your account or by contacting us. We may suspend or terminate access if you breach these terms, create risk for the service, or fail to pay fees when due.

After termination, provisions that by their nature should survive will survive, including payment obligations, confidentiality, intellectual property, disclaimers, liability limits, and dispute provisions.

Privacy and data processing

Our Privacy Policy explains how we collect, use, and share personal information. If your organization needs a Data Processing Agreement for personal data processed through Sonalyze, contact [email protected].

Third-party services, including payment processors, hosting providers, analytics providers, and AI model providers, may process information under their own terms and privacy policies when they support the service or when you configure them for your workspace.

General provisions

These terms, together with policies and order terms referenced here, are the entire agreement between you and Sonalyze for the service. If any provision is unenforceable, the remaining provisions will stay in effect.

You may not assign these terms or your account without our prior written consent. We may assign these terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of assets.

No waiver is effective unless it is in writing and signed by the party granting it. A failure to enforce a provision is not a waiver. Sonalyze is not liable for delay or failure to perform caused by events beyond our reasonable control.

Notices to you may be sent to the email address associated with your account. Legal notices to Sonalyze must be sent to [email protected].

Changes and contact

We may update these terms from time to time. If changes are material, we will take reasonable steps to notify you. Continued use of Sonalyze after changes become effective means you accept the updated terms.
